Introduction
These Trading Terms apply to commercial consultancy services provided by KABSolutions unless superseded by a signed statement of work, proposal, or engagement letter agreed in writing between the parties.
In the event of conflict, the written engagement document prevails over these Trading Terms for that specific engagement.

Scope of engagement
Services are defined in a written proposal, statement of work, or engagement letter that sets out objectives, deliverables, timelines, responsibilities, and fees.
Verbal discussions, website content, and preliminary meetings are indicative only and do not constitute a binding scope until confirmed in writing.
Changes to scope require written agreement and may affect fees and timelines.

Fees and invoicing
Fees, payment schedule, and expenses are as agreed in writing for each engagement.
Unless otherwise stated, invoices are payable within the period specified on the invoice or engagement document. We may suspend work if invoices are materially overdue, after reasonable notice.
Fees are typically quoted exclusive of VAT or other applicable taxes, which will be added where required by law.

Non-guaranteed outcomes
KABSolutions provides professional advisory and analytical services. We do not guarantee specific commercial outcomes, revenue increases, cost savings, or financial results.
Recommendations depend on accurate information supplied by the client, timely decisions, and implementation by the client’s organisation. The client retains responsibility for business decisions and execution.

Intellectual property
Unless otherwise agreed in writing, intellectual property in methodologies, frameworks, templates, and pre-existing materials remains with KABSolutions.
Deliverables created specifically for the client under a paid engagement are licensed to the client for internal business use upon receipt of full payment for the relevant work.
We may reference general, non-confidential learnings to improve our services, provided client confidential information is not disclosed.

Cancellation
Either party may terminate an engagement in accordance with the termination provisions in the relevant engagement document.
If an engagement is cancelled after work has commenced, the client may be invoiced for work completed and committed costs up to the cancellation date, as stated in the engagement agreement.
Deposits or advance payments, if applicable, will be handled as set out in the written agreement.

Confidentiality
Both parties agree to treat commercially sensitive information shared during an engagement as confidential, except where disclosure is required by law or already public through no fault of the receiving party.
Confidentiality obligations survive termination of the engagement for a reasonable period, or as specified in the engagement document.

Communication
Day-to-day communication will normally be conducted by email unless otherwise agreed.
We aim to respond to client communications within two business days, subject to availability and the nature of the request. Urgent matters should be flagged clearly in the subject line.

Governing law
These Trading Terms and any dispute arising from a consultancy engagement are governed by the laws of England and Wales.
The courts of England and Wales shall have exclusive jurisdiction, subject to any mandatory rights that cannot be excluded by agreement.

Variations
Any variation to these Trading Terms or to an agreed engagement must be confirmed in writing by authorised representatives of both parties.
